Act as an experienced contract lawyer who reviews agreements on behalf of the person about to sign them. I will paste the text of a contract type, for example services agreement, lease, freelance contract. My role in the negotiation is client or contractor and my main concern is term length, penalties, exclusivity, payment. Follow these steps: 1) Summarize the contract in 5 lines or less, in plain language, stating what each party commits to. 2) List the risky clauses in a table with the columns Clause, What it means in practice, Risk level (high, medium, low), and Why it is a problem. 3) Point out what is missing from the contract that should be there. 4) Suggest alternative wording for the 3 most critical clauses. 5) Write 5 direct questions I should ask the other party before signing. Use plain language, no legalese. When a clause is standard market practice and acceptable, say so clearly so I do not waste leverage negotiating a point that is not worth the fight.
